Content Submission Agreement

The User Submission Agreement is an integral part of the Master Show TV Terms of Use. Therefore, this set of documents forms a legally binding agreement (hereinafter called “Submission Agreement”) which regulates the sending, by third parties, users of this platform, of audiovisual material with authorization for display and distribution on this Master Show TV Site/Application .

When You send us your Content, You will be indicating your agreement and acceptance of all the terms and conditions of this Submission Agreement, as well as the terms and conditions contained in the Terms of Use that regulate your legal and contractual relationship with Master Show TV.

We have the right to change the terms and conditions of this Shipping Agreement at any time, without prior notice, as described in our Terms of Use. Therefore, please keep your reading of this Shipping Agreement and our Terms of Use up to date as when you send us your Content will be agreeing to be bound by all terms and conditions of this Submission Agreement, including, but not limited to, any changes we may have made.

IMPORTANT: You must meet the Age Requirement in Section 2 of this Shipping Agreement. Each time You submit User Content, among other things, You will be asked to confirm that You comply with this requirement.

The term "User Content" refers to any and all content, media and materials that You submit for publication on the Master Show TV Site/App, making use of the User Content Submission Features, including, but not limited to , still photographs, texts, oral statements, music, audio, video, video recordings, audio visual works and recordings, slides, portraits, animations and/or cinema films, caricatures, likenesses, vocal or other sounds, sound recordings, voices, voice reproductions, computer graphics and visual effects, as well as any accompanying documents, packaging or other materials, tangible or intangible, as well as all derivative works, translations, adaptations or variations thereof, regardless of the tangible medium, medium of transmission, format or form, now known or hereafter developed or discovered, and regardless of the place where it was produced, the location, whether in a studio or elsewhere, in black and white or color, alone or in conjunction with other works, characters , real or fictitious, anywhere in the world. User Content is also considered:

"Post", as defined in the Terms of Use, and thus, all terms and conditions contained in the section of the Terms of Use entitled Item 5. Rules of conduct and Item 8 Expressions, without prejudice to the other items set out in our Terms of Use , will apply to all User Content that You submit in accordance with the terms and conditions of this Submission Agreement for Posting on the Site/Application and other Master Show TV interfaces.

Each time You upload to send User Content or if you prefer to send a link to access it You will be confirming your acceptance of all the terms and conditions of the Submission Agreement. Instructions for uploading your User Content can be found on the Master Show TV Website/App. In order to be published and displayed to the public, User Content must meet certain specifications and requirements regarding formatting, compatibility, operational characteristics and submission, which can also be found on the Site page for uploading User Content. To submit User Content, you will also need to meet our Age Requirements (see Section 2 below). When submitting User Content, you may also be asked to provide certain information about You and Your work or performance. They may include, but are not limited to, a descriptive title, information about the User Content, duration, location and other relevant information.

Submitting User Content You are also agreeing and accepting that the term "User Content" includes and refers to, but is not limited to, all information that You submit to us or that may be related to your submission. Always keep a copy of what You send to us, as we are not responsible for lost, damaged, misdirected, unusable or illegible User Content. The protocol that You submitted User Content does not mean or constitute proof that we have had effective access to your Content. You will have this certainty when, expressly, in writing, we communicate the receipt and assessment of your work.

By submitting User Content in accordance with the terms and conditions of this Submission Agreement, You are certifying that You meet the age requirements, be at least 18 years of age, or be emancipated if a minor, with the prior express written permission of your parent or guardian. cool.

In addition to age, other eligibility requirements set out in the Terms of Use and below:

You are solely responsible and liable for communications and submissions (and the consequences thereof) sent under your name, your username, your email address, your password, and your registration or Profile information, if any. User Content does not reflect the views of Master Show TV, nor any of its partners, advertisers and other associates, nor does it represent or guarantee the truthfulness, accuracy or reliability of any User Content, nor do we endorse or support any opinions expressed in any User Content.

Under no circumstances will Master Show TV, nor any of its partners, advertisers and other associates be responsible, liable or liable for, or in connection with, any User Content. If we determine, in our sole discretion, that You have not satisfied the Requirements of this Shipping Agreement, we reserve the right to, at any time, without prior notice or any limitation on all other rights under this Shipping Agreement, under the law or the Court, (a) deny you permission to submit new User Content, (b) remove and delete your previously posted User Content, (c) revoke your registration and right to use the Content Submission Features of User and (d) use any technological, legal, operational or other available means to enforce the terms of this Submission Agreement, including, without limitation, blocking IP addresses, or deactivating or unregistering an email address -email, username and password.

If You are domiciled outside Brazil, regardless of your nationality, You are responsible for complying with the laws of your jurisdiction, observing the legal prohibition, if any, on sending/exporting videos, information, software, materials, products abroad or services prohibited under export control laws and regulations in force in your legal domicile.

You agree not to send or attempt to send, and we have the right to reject, refuse to accept, withdraw or provide such treatment as Master Show TV deems necessary in the face of any "Unauthorized Content", whichever defines as any User Content that is or could be considered to be violating any of the terms and conditions of this Submission Agreement, and/or any of the terms and conditions set forth in our Terms of Use, including, without limitation: violating copyright of third parties or other intellectual property rights; that causes harm, harasses anyone or that could prevent, prohibit, inhibit, restrict or otherwise harm others from using or enjoying the Master Show TV Website/Application, unauthorized access the Features for Submitting User Content or information from other users; altering, tampering with, disrupting, modifying or interfering with the use, features, functions, operation or maintenance of the User Content Submission Features; any requirements, rules, terms or conditions that may be applicable to the User Content Submission Features.

Neither Master Show TV nor any of its partners, advertisers and other associates control any User Content submitted, although we may use both automated and manual means of reviewing User Content in order to prevent Unauthorized Content from being submitted. and displayed on our Website/Application and other interfaces and platforms.

Master Show TV reserves the right to review any User Content submitted, as well as to delete, remove, move, edit or reject, without prior notice, any User Content that we consider in our sole discretion to be abusive, defamatory, obscene, pornographic, in violation of copyright, trademark or other intellectual property rights, or in violation of this Submission Agreement, or which is considered unacceptable by Master Show TV and any of its partners, advertisers and other associates for any reason or reason, under the condition that Master Show TV, its partners, advertisers and other associates will not have any judicial or extrajudicial obligation or liability if You fail to do so or for doing so in a certain way. If Master Show TV receives any communication of alleged infringement that meets certain legal requirements, such as notices or requests to disable infringing material subject to Brazilian law (see Section 4 below), it may remove the User Content with based on these complaints. Master Show TV reserves the right to provide information to law enforcement authorities, government agencies and, in accordance with judicial or regulatory compulsion or judicial authority, in order to protect the respective collective or individual interests achieved or to comply with legal, regulatory precepts , auditing and compliance obligations.

If you believe that any User Content violates the copyright of any other party, you may notify us by submitting to the procedures set forth in our Terms of Use, Submission Agreement and Privacy Policy.

In connection with all User Content that You submit using the User Content Submission Features, You grant Master Show TV, its partners, advertisers and other associates the right, license, authorization and permission, in a unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual and royalty-free, in any form or format, in or through any medium or medium and with any technology or devices now known or later developed or discovered, in whole or in part, to host, cache, store, conserve, use, reproduce, distribute, display, perform, publish, transmit, modify, prepare derivative works of, adapt, reformat, translate, and otherwise exploit all or any part of your User Content on the Site/Application (regardless of the Device through which the Site may be accessed) and any other channels, services and other distribution platforms, whether currently existing or developed in the future, by Master Show TV.

For the avoidance of doubt, while not limiting the generality of the rights granted to Master Show TV, these rights include, without limitation, the right to distribute and synchronize all or any part of your User Content, in temporal relationship with any other visual elements ; webcast, podcast, republication or retransmission of all or part of your User Content; to encrypt, encode and decode, compress and decompress all or any part of your User Content; to edit, mix, combine, merge, superimpose, create or add special effects, illusions and/or other material, to create compositions, stunts, unusual comics or photographs, videos, animations, films and/or voice reproductions of all or part of the your User Content; and to remove and/or extract portions of your User Content in order to store, save, separate, classify, categorize and display your User Content on or through our Platforms and Site/App. User, in addition to the rights, licenses and privileges referred to above, you will also be guaranteed to Master Show TV, its partners, advertisers and other associates, the complete, unrestricted, unconditional and unlimited right, license, authorization and permission, worldwide, irrevocable, perpetual and free of charge, of use and reference of your name, logo, brand, image, characteristics or distinctive identification in presentations, advertising material, customer lists and financial reports, to make, execute, exploit and enjoy any and all of the rights established here within the scope of marketing, advertising and promotion of your Content on our Platforms.

The rights, licenses and privileges described in this Submission Agreement granted to Master Show TV are effective immediately upon your submission of your User Content, or through the User Content Submission Features, and continue in perpetuity and indefinitely, regardless of whether or not You continue to be a registered user, unless your account is suspended, in whole or in part, by Master Show TV upon communication. Notwithstanding the foregoing, You acknowledge and agree that neither Master Show TV, nor any of its partners, advertisers and other associates, shall be required to have any obligation to host, rate, display, accept or use any User Content submitted ( or enjoy any or all of the specific rights and powers granted or otherwise available), and Master Show TV, may, in its sole discretion, remove or refuse to host, classify, display, accept, use, or take any action related to any User Content. Once You submit or attempt to submit User Content, You are giving up the right to prohibit, restrict, revoke or terminate any of the rights granted to Master Show TV, its partners, advertisers and other associates. You are not entitled to and will not receive any compensation or other consideration with respect to your User Content, or your use of your User Content once submitted.

You are also aware and agree that not all, or part, of your User Content must be submitted in advance for approval of use, nor any commercial, advertising, promotion, marketing or other materials related to your User Content.

In this way, You exempt Master Show TV, its partners, advertisers and other associates, from any and all claims, be they any right, commitment, guarantee, claim, demand, action or process, which may be or contain related to the your User Content, including, without limitation, any liability for use or non-use of your User Content. To the extent that Master Show TV does so, when You submit User Content, each of its partners and other associates may use and benefit from the terms and conditions, rights, licenses and authorizations granted herein to Master Show TV as if You had entered into this Submission Agreement with those mentioned directly.

Master Show TV retains all right, title and interest in and to the User Content Submission Features, including, but not limited to, all existing intellectual property and proprietary rights throughout the world, so that you does not acquire any ownership, possession or any other right, title or interest in or to the User Content Submission Features.

Except for the licenses, authorizations, consents and rights granted herein and described in this Submission Agreement, considered in the most comprehensive and inclusive form, in relation to what they may appear or actually be, Master Show TV, does not acquire any title or right ownership of or in any User Content, and nothing in this Submission Agreement conveys any ownership rights in the User Content to us.

Master Show TV acts solely as a host, bulletin board or transmission medium for submitted User Content, with all specific rights granted to You herein. Even if by submitting any User Content, You are requesting, directing and permitting Master Show TV, its partners, advertisers and other associates to participate in the dissemination of Your Content, all the rights and privileges granted herein (including, but not limited to, limited to the right to submit and post User Content on our Platforms), however, Master Show TV has no obligation to do any of these things. You shall own the rights to the User Content that You submit and the right to grant all authorizations, permissions, approvals, authorizations, rights and licenses as described in this Submission Agreement. If You do not exclusively own all such rights, You must have all necessary consents, permissions, approvals, authorizations, rights and licenses from the owner(s) to enter into this Shipping Agreement and to perform and fulfill all of its obligations. You represent, warrant and agree that, by submitting User Content, You reaffirm each of such representations and warranties, that: (a) You are not a minor and You have the legal right and capacity to enter into this Submission Agreement and to perform and comply with all of its terms and conditions or, if You are under the age of eighteen (18), your parent or legal guardian accepts this Submission Agreement on your behalf, (b) all information provided by You associated with the User Content are correct, complete and current, (c) your submission of any User Content does not violate this Submission Agreement, any rights of any other party, any of your obligations, any law or regulation or infringe or misappropriate any intellectual property , privacy, publicity or other rights of any party, (d) You have carefully read our Terms of Use, and (e) You warrant that you will continue to retain all ownership, license, rights of ownership and other measures necessary to enter into, authorize, grant rights and perform your obligations under this Submission Agreement. If required by Master Show TV, You will provide any necessary and reasonable documentation, substantiation, and evidence to verify and prove your compliance with any or all of the terms and conditions of this Agreement, including, without limitation, the foregoing confirmations, warranties and admissions. You further represent and warrant that the submission of your User Content is not subject to the jurisdiction of a corporate or collective bargaining agreement and You further acknowledge that Master Show TV, its partners, advertisers and other associates are not signatories to any contract of this type.Notwithstanding anything to the contrary, You also understand and agree that Master Show TV, its partners, advertisers and other associates will not be obligated or responsible for providing any coverage or residual payments in connection with the submission and exploitation of User Content. acknowledge that others may have submitted User Content to us, which may become public, or be developed, or which may originate, submit, make public or develop, material similar or identical in whole or in part to your User Content or concepts contained therein, and You understand and agree that You will not be entitled to any compensation in these situations or any right to posting or display, nor is it new, priority or original. Even if You later discover any presentation, film, photograph, cinema, video or any other content that appears to embody any idea or concept, or includes something similar or identical to something already existing in any User Content, You, or any another, claims, from now on, that it is pure coincidence and inevitable.

Master Show TV, its partners and associates reserve the sole and exclusive right to sell advertising and explore, take economic advantage, and/or earn revenue from their business and the operation of the Site/Application, the Submission Resources of the User Content or other Platforms, and any agreements made with respect thereto, without accounting, obligation or liability to You, even if your User Content may be displayed, used on or in connection with the Site, the Content Submission Features of the User or other Platforms unless an express agreement to the contrary is signed.

Your indemnification obligations under the Terms of Use include, without limitation, any claims that may be claimed arising from third party claims, related to or caused by your User Content, the submission of the User Content and/or otherwise associated with this Agreement and/or the Master Show TV Website/Application, and You must also bear legal fees in the event that Master Show TV is sued judicially or extrajudicially due to the display of your User Content.

USER CONTENT SUBMISSION FEATURES ARE PROVIDED WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED IN THIS SUBMISSION AGREEMENT, AND USE OF USER CONTENT SUBMISSION FEATURES IS AT USER'S OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR YOUR USER CONTENT, REPRESENTATIONS AND OBLIGATIONS ARISING OUT OF THIS SUBMISSION AGREEMENT AND FOR ANY DAMAGE CAUSED TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM YOUR USE OF THIS SITE/APPLICATION OR THE CONTENT SUBMISSION FEATURES FROM THE USER ON OTHER OF OUR PLATFORMS. MASTER SHOW TV, ITS PARTNERS, ADVERTISERS AND OTHER ASSOCIATES EXPRESSLY DISCLAIM ANY WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES RELATING TO ACCESS AND/OR AVAILABILITY, ACCURACY, USEFULNESS AND/OR SECURITY OF THE SITE OR USER CONTENT SUBMISSION FEATURES, ANY CONTENT, MATERIALS, SOFTWARE, INFORMATION, DATA, PROVISION OF SOFTWARE CAPACITY, RESOURCES, FACILITIES, PRODUCTS AND/OR SERVICES, AND WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, OR THAT THE DEVICES USER CONTENT SUBMISSIONS WILL WORK OR PERFORM IN A CERTAIN MANNER. THE SITE AND USER CONTENT SUBMISSION FEATURES ARE MAINTAINED ON SERVERS INSIDE AND OUTSIDE OF BRAZIL INTENDED FOR USERS AS WELL AS YOUR USE OF USER CONTENT SUBMISSION FEATURES, WHICH IS NOT RESTRICTED OR PROHIBITED BY LAW OR REGULATION. MASTER SHOW TV, ITS PARTNERS, ADVERTISERS AND OTHER ASSOCIATES DISCLAIM ANY LIABILITY IN RELATION TO ANY USE THAT IS NOT SPECIFICALLY AUTHORIZED OR IN VIOLATION OF THIS SHIPPING AGREEMENT, OR THE LAWS AND REGULATIONS THAT MAY APPLY TO YOU IN ANY JURISDICTION OR COUNTRY. MASTER SHOW TV, ITS PARTNERS, ADVERTISERS AND OTHER ASSOCIATES EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY AND ALL DAMAGES, WHETHER DIRECT, CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY OR PUNITIVE, WHETHER CAUSED IN ANY WAY, FORESEEABLE OR NOT, REGARDLESS OF THE FORM OF ACTION OR BASIS OR CHARACTERIZATION ASSOCIATED WITH OR CAUSED BY USER CONTENT.
